These disclosures apply to Mutual Frontier LLC, the Mutual Frontier Fund Series, its related investment pools, and information presented on this website.
Private Fund Participation and Liquidity
Participation in a Mutual Frontier Fund involves a private pooled capital structure combining investment activity with shared qualifying obligations. Capital contributions are subject to substantial risk, including the possible partial or complete loss of capital.
Fund interests are not registered with any public securities authority, are not publicly traded, are subject to transfer restrictions, and currently have no secondary market. Participants should not rely on future liquidity and must be able to bear the economic risk of participation for an indefinite duration.
Use and Return of Capital
Member capital may be pooled and deployed to support investment activity, structural reserves, qualifying obligations, operating requirements, and the continuity of the applicable Fund.
The availability, timing, and amount of any distribution or return of capital depend on multiple factors, including investment performance, qualifying events affecting participating Assets, expenses, reserves, liquidity requirements, and the applicable governing terms. There is no assurance that a participant will recover all or any portion of contributed capital.
Investment Risks
A Mutual Frontier Fund may invest in public and private assets, including equities, fixed-income instruments, asset-backed instruments, private credit, cash equivalents, real assets, and other financial or contractual interests.
These investments may be subject to market, interest-rate, credit, liquidity, valuation, operational, concentration, and systemic risks. Investment values may fluctuate materially, and adverse economic, financial, regulatory, or environmental conditions may impair Fund capital.
Qualifying Obligations and Event Risk
Qualifying obligations may arise from events affecting participating Assets and may be funded from pooled capital in accordance with the applicable Fund documents.
The frequency, severity, and correlation of qualifying events cannot be predicted. Multiple, correlated, or severe events may materially impair Fund capital, reduce investment returns, limit distributions, and affect the Fund’s ability to satisfy qualifying obligations. Structural risk-management mechanisms are intended to improve resilience but cannot eliminate risk.
Valuation Risk
Valuations of Fund interests and underlying investments may involve estimates, assumptions, and models that do not reflect realizable value. Certain investments may be illiquid or may not have observable market prices. Reported valuations may change materially and may differ from realized outcomes.
Regulatory Status and No Insurance
Mutual Frontier currently operates through private contractual capital structures. Mutual Frontier is not an insurance company, bank, broker-dealer, or registered investment company.
Fund interests are not insurance policies, bank deposits, or guaranteed financial instruments. They are not insured or guaranteed by the Federal Deposit Insurance Corporation, the Securities Investor Protection Corporation, or any governmental or private entity.
Participation in a Mutual Frontier Fund does not replace or modify any third-party insurance policy maintained by a participant.
No Guarantees
Statements concerning capital preservation, structural resilience, qualifying obligations, investment objectives, or potential outcomes describe objectives or structural intentions—not guarantees.
Past performance, historical illustrations, projections, simulations, scientific models, and optimization results do not guarantee future performance or outcomes.
